Legal Counsel (Financing, Lending and Securitization) (Fintech)

What you will do

• Advise the business on financing, lending, securitization, and online lending platform activities.
• Draft, review, and negotiate facility and loan agreements, promissory notes, security documents, guarantees, and intercreditor arrangements.
• Structure and document securitization and structured finance transactions, including asset transfers, true sale analysis, servicing arrangements, and investor documentation.
• Advise on SEC, BSP, consumer protection, interest rate, collections, credit reporting, and data privacy requirements applicable to lending and financing.
• Support product, credit, and risk teams with online lending platform design, disclosures, consent flows, marketing claims, and third-party arrangements.
• Handle regulatory examinations and inquiries, attend hearings, and provide legal solutions for fintech projects and new regulatory guidance.

Requirements

• 4–7 years of post-qualification experience in banking and finance, lending, consumer credit, structured finance, or securitization in the Philippines.
• Working knowledge of SEC lending and financing company and online lending platform frameworks, BSP regulations, consumer protection, and credit-related data privacy requirements.
• Ability to independently draft and negotiate finance documentation.
• Strong judgment, analytical skills, communication, business pragmatism, and adaptability in a fast-paced environment.
• Fluency in English with outstanding writing and communication skills.
• Passion for payments and cryptocurrency, with the ability to work independently and as part of an international legal team.
