Senior Corporate Counsel

Location: San Jose, United States; fully in-person schedule of up to 5 days per week

Base salary: $213,000–$419,200 annually, with potential additional bonuses, incentives, and restricted stock units.

What you will do

• Advise the General Counsel, executive leadership, directors, and subsidiaries on corporate governance, board responsibilities, fiduciary duties, and corporate administration.
• Lead the preparation and management of board and committee agendas, resolutions, minutes, and governance materials.
• Oversee joint venture structure management, subsidiary creation and maintenance, and strategic corporate transactions.
• Partner with finance, internal audit, business teams, and regulatory affairs on governance initiatives, policies, and risk management controls.
• Advise on regulatory changes affecting corporate governance and oversight structures.
• Maintain corporate policies, governance frameworks, and ethics guidelines while supporting compliance training and a culture of integrity.

Requirements

• Bachelor’s degree and Juris Doctorate from an ABA-accredited law school.
• Qualified to practice law in the United States.
• At least 12 years of in-house or top-tier law firm experience in corporate legal and governance matters.
• Advanced knowledge of corporate law, board governance, entity management, and ethics frameworks.
• Expert analytical skills, sound judgment, strong communication, and the ability to advise on complex legal and regulatory issues.
• Leadership and management skills combined with a hands-on approach to execution.

Nice to have

• Experience supporting board-level committees or joint venture governance structures.
• Experience with corporate compliance and ethics programs in high-growth or technology sectors.
• Ability to manage high workload volume, meet critical deadlines, and proactively improve processes.
