Senior Director, Corporate Counsel (Cybersecurity)

Location: Remote within the United States or Canada; travel for in-person offsites, team meetings, and customer or industry events may be required.

Salary: $269,000–$404,000 USD annual base salary for US-based roles; $234,000–$351,000 CAD annual base salary for Canada-based roles, plus benefits, equity, and applicable incentive programs.

What you will do

• Lead legal workstreams for mergers and acquisitions, including due diligence, negotiations, transaction documents, and post-closing integration.
• Advise on international operations, subsidiary formation, regulatory requirements, financing transactions, and securities compliance.
• Oversee corporate entities, records, governance processes, policies, and public-company compliance matters.
• Support Finance with insurance, tax planning, financial statements, employee equity, commission plans, and strategic projects.
• Manage compliance training, marketing reviews, litigation and dispute resolution, and external counsel.
• Manage the intellectual property portfolio and partner with senior leaders across the business on legal risk and strategy.

Requirements

• Juris Doctor and active bar membership in Canada or the United States.
• At least 10 years of relevant experience, including experience at a nationally recognized law firm and ideally with late-stage private and public companies.
• Experience with mergers and acquisitions, corporate governance, securities laws, entity management, financing, and public-company compliance.
• Experience advising on international expansion and regulatory requirements across multiple jurisdictions.
• Strong judgment, communication, project management, risk assessment, and stakeholder-management skills.
• Technology or SaaS legal experience is preferred.
