Director of Corporate Development (Software)

Location: Fully remote, with flexible hours and the ability to work from anywhere in the world.

What you will do

• Build and maintain acquisition and partnership pipelines through market mapping, competitive analysis, advisor relationships, and direct founder outreach.
• Design and apply scoring frameworks, prepare investment evaluations, and build valuation, transaction, financing, scenario, and sensitivity models.
• Coordinate financial, legal, technology, leadership, and counterparty due diligence and translate findings into deal structures.
• Prepare executive and board materials, support negotiations, and track transactions against their original investment theses.
• Build acquisition and integration budgets, incorporate transaction impacts into forecasts, and lead post-close integration planning and financial onboarding.
• Evaluate strategic alliances, joint ventures, major commercial agreements, and debt or equity financing opportunities.

Requirements

• 8+ years of experience across corporate development, investment banking, private equity, and/or transaction advisory, including direct origination.
• Experience coordinating financial, legal, and human due diligence and supporting post-merger integration.
• Ability to build three-statement, valuation, scenario, and sensitivity models from a blank workbook.
• Experience presenting recommendations to executives or investment committees and defending analysis under challenge.
• Working knowledge of software or recurring-revenue business models, strategic alliances, joint ventures, commercial agreements, and financing processes.
• Strong commercial judgment, attention to detail, communication, discretion, integrity, and composure under pressure.

Nice to have

• MBA, Big Four transaction advisory experience, or software industry experience.
• Experience founding or being the first hire in a finance or corporate development function.
• An established network among software-sector bankers, brokers, or founders.
• Experience partnering with or operating within FP&A.
