What you will do
- Draft, review, and negotiate MSAs, SOWs, NDAs, DPAs, software, SaaS, licensing, and vendor agreements.
- Manage negotiations with clients, vendors, and external counsel.
- Identify legal and commercial risks and provide practical solutions and fallback positions.
- Advise internal teams on legal matters across different jurisdictions, with a focus on the US and Europe.
- Support intellectual property matters involving software ownership, licensing, copyright, and trademarks.
- Handle corporate, compliance, privacy, legal research, and day-to-day legal advisory work.
Requirements
- Master’s degree in Law.
- At least 3 years of relevant legal experience, preferably in an IT or technology company.
- Experience drafting and negotiating commercial and technology contracts governed by US law and/or English law.
- Understanding of liability, indemnities, intellectual property, data protection, information security, and licensing.
- Advanced English and Ukrainian are required.
- Practical experience using generative AI tools in legal work.
Nice to have
- Understanding of the US tax system.
- Experience in IT services, software development, or outsourcing.
- Experience with privacy, cybersecurity, AI-related legal matters, or ISO 27001, ISO 27701, SOC 2, and NIST frameworks.
- Experience implementing legal-tech or automation tools, including AI-assisted development or vibe coding.
