Securities Attorney, VP (BREIT)

Location: DC, United States

Salary: $165,000–$250,000 annual base salary, plus discretionary bonuses and potential equity or other incentive compensation.

What you will do

• Prepare and review public offering materials, including registration statements, prospectuses, and private placement memoranda.
• Prepare and review Forms 10-K, 10-Q, 8-K, and Section 16 filings, and manage the annual meeting proxy process.
• Support corporate governance matters, including board and committee meeting planning and documentation.
• Assist with international and other private placement offerings, including structuring and launching new initiatives and products.
• Interpret and apply securities regulations related to operations, communications, marketing, and offerings in the United States and abroad.
• Manage commercial legal matters, junior team members, and outside counsel.

Requirements

• At least 6 years of experience practicing law in a law firm or in-house environment, focused on capital markets, public company advisory, or a similar area.
• Required familiarity with the Securities Act of 1933, including exemptions, and the Securities Exchange Act of 1934.
• Ability to independently manage projects, prioritize multiple matters, and exercise sound judgment.
• Strong organizational, communication, interpersonal, and stakeholder-management skills.
• Interest in financial markets and the ability to explain complex legal concepts to non-legal stakeholders.
• Ability to oversee junior team members and collaborate across investment, operations, finance, tax, public affairs, and other groups.

Nice to have

• Knowledge of the Investment Advisers Act and/or the Investment Company Act.
• Experience with 1031 exchanges, ERISA, and/or private fund vehicles.
