Director, Corporate Counsel (USA Rare Disease) (Pharmaceutical)

Location: Morristown, New Jersey, United States; hybrid with a minimum of 3 days per week onsite

Salary: $200,000–$240,000 per year

What you will do

• Review, draft, negotiate, and manage corporate and commercial contracts, including NDAs, MSAs, and SOWs.
• Manage clinical and R&D contracts, including CRO and clinical trial agreements.
• Support compliance activities, corporate policies, and review of promotional materials for drug advertising compliance.
• Support M&A diligence, contractual negotiations, disputes, litigation, and preparation of disclosure schedules.
• Manage corporate governance, Delaware and other state business registrations, departmental budgets, and outside counsel spending.
• Act as Assistant Corporate Secretary and liaise with finance, senior leadership, internal stakeholders, and external counsel.

Requirements

• JD from an accredited US law school.
• 5+ years of relevant legal experience.
• Licensed in New Jersey, able to waive in, or eligible for an in-house counsel license.
• Generalist corporate legal experience, including client relationship management, contract negotiation, and contract management.
• Ability to work onsite in the Morristown, New Jersey office on a hybrid basis, with a minimum of 3 days per week preferred.
• Experience managing projects and coordinating multiple internal and external stakeholders.

Nice to have

• Pharmaceutical or biotechnology industry experience.
• Exposure to M&A, litigation, financial reporting, budgeting, accounting, employment law, Delaware corporate law, corporate secretarial work, or FDA and drug promotional rules.
