Sr. Counsel, Executive Compensation and Benefits (Executive Compensation and Benefits): Designing, governing, and providing legal oversight for executive compensation, broad-based compensation, equity incentive plans, and employee benefit programs with an accent on corporate governance, disclosure, and regulatory compliance. Focus on advising the Compensation Committee, managing equity and benefits documentation, and addressing complex tax, securities, ERISA, and workforce transaction matters.

What you will do
- Advise on the design and governance of executive compensation, including salary, annual incentives, long-term incentives, retention agreements, and market benchmarking.
- Serve as the primary legal advisor to the Board’s Compensation Committee and prepare meeting materials, resolutions, and governance documentation.
- Lead the preparation and review of executive compensation disclosures and stakeholder-facing materials.
- Oversee the legal design, implementation, administration, and documentation of equity and incentive plans.
- Provide legal guidance on retirement, welfare, and fringe benefit plans, including benefits issues arising from mergers, acquisitions, restructurings, and workforce transactions.
- Monitor regulatory developments, manage external advisors, and provide cross-functional guidance and training.
Requirements
- JD from an accredited law school.
- Active bar membership in good standing.
- 10+ years of relevant legal experience, including executive compensation and benefits.
- Experience supporting Board-level compensation governance and committee processes.
- Strong knowledge of executive compensation disclosures, equity compensation structures, tax rules, securities laws, and benefits regulations.
- Experience in a public company or advising on public-company standards is strongly preferred.
