Senior Corporate Counsel (Financial Services)

Location: Pittsburgh, Pennsylvania, United States; primarily based at 626 Washington Place

What you will do

• Manage and supervise outside litigation and outsourced legal matters, including strategy, work product, billing, budgets, rates, and fees.
• Provide practical legal advice to executives, affiliates, business functions, Compliance, and business leaders on corporate operations, contracts, regulations, and policies.
• Advise on banking and commercial law matters, including check and item processing, deposits, UCC requirements, and commercial and consumer lending.
• Support mergers and acquisitions through due diligence, contract preparation, review, and negotiation, including vendor, licensing, employment, lease, and contractor agreements.
• Assist with compliance policies, consumer compliance matters, whistleblower investigations, regulatory inquiries, and employment-law issues.
• Prepare and file regulatory applications for branch consolidations, market expansions, and acquisitions, and advise the Board and senior management on risk management and audit matters.

Requirements

• Juris Doctor (JD) degree and at least 10 years of related experience.
• Attorney license required.
• Experience representing financial services companies and banks, preferably in-house or at a law firm serving these entities.
• Strong project management, communication, organizational, analytical, interpersonal, and customer service skills.
• Working knowledge of Microsoft Word, Excel, PowerPoint, and job-related software.
• Must be legally authorized to work in the United States; employment-based visa sponsorship is not provided.
