What you will do
- Lead the negotiation, drafting, and execution of complex brand-level and enterprise-wide technology transactions.
- Handle SaaS, software and hardware licenses, data licensing, consulting agreements, proof-of-concept agreements, and statements of work.
- Advise technology, commercial, and corporate stakeholders on contractual rights, obligations, restrictions, and legal risks.
- Support AI governance by reviewing use cases, advising on AI-related matters, and developing appropriate contractual protections.
- Collaborate with privacy, cybersecurity, technology, procurement, and business teams on enterprise initiatives and innovation efforts.
- Maintain and improve contract templates, playbooks, and standard provisions for the Technology/IT legal team.
Requirements
- Juris Doctor from an accredited U.S. law school.
- Active membership in good standing of at least one U.S. state bar.
- 5+ years of technology and commercial transactional experience at a law firm and/or in-house legal department.
- Substantial experience with enterprise technology agreements, SaaS, software and hardware licensing, consulting agreements, and statements of work.
- Excellent drafting, negotiation, communication, analytical, and stakeholder-management skills.
- Ability to manage high-volume work, competing priorities, and tight deadlines with minimal supervision.
Nice to have
- Experience contracting for AI technologies and advising on AI-related matters.
- Knowledge of market-standard AI contractual provisions and related legal, regulatory, and industry developments.
